    By accessing and using Commodoor, you agree to be bound by the following Terms of Service and Conditions of Use ("Terms & Conditions"). Please read these Terms & Conditions carefully, as they govern your use of Commodoor and outline important rights and obligations.

    Introduction and Acceptance

    These Terms & Conditions govern your access to and use of Commodoor (or any white-labeled version of Commodoor by Sizemore & Company Technologies LLC’s clients or approved licensees). By using this service, you agree to comply with these Terms & Conditions. If you do not agree with any part of these Terms & Conditions, you may not use Commodoor.

    We reserve the right to modify these Terms & Conditions at any time, and any such changes will be communicated to you. Your continued use of Commodoor after such changes indicates your acceptance of the updated Terms & Conditions.

    Intellectual Property (IP) Rights

    Ownership of Data: When using and interacting with Commodoor, you will contribute content to Commodoor (e.g., text-based “prompts”). By contributing content or materials to Commodoor, you hereby represent and warrant that (a) such content is not subject to any intellectual property rights (and may be freely used); (b) that you own, or have permission to use, all intellectual property rights to such content; and/or (c) that you own the necessary rights and permissions to grant Sizemore & Company Technologies LLC the right to use such content for all purposes related to the Commodoor platform, including but not limited to improvement or “training” of Commodoor.

    Licensing: By contributing content or materials to the Commodoor platform, you hereby grant Sizemore & Company Technologies LLC an irrevocable, non-exclusive, royalty-free, worldwide license to reproduce, distribute, publicly display, publicly perform, and create derivative works from all content and materials you contribute to Commodoor for any reason, including but not limited to for the purpose of Sizemore & Company Technologies LLC’s client’s use or for improving Commodoor.

    Moral Rights: If applicable, you waive any moral rights (such as the right to attribution) related to the content and materials you provide, unless explicitly agreed otherwise in writing.

    Third-Party Materials: If you contribute any third-party content or materials, you warrant that you have obtained the necessary licenses or permissions to allow Sizemore & Company Technologies LLC, or its clients or approved licensees, to use them in connection with Commodoor.

    Indemnity. You agree to fully indemnify and defend Sizemore & Company Technologies LLC, or its clients or approved licensees, for any liability arising from or related to a breach of the warranties in this Section 2.

    Privacy and Data Protection

    Personal Data: Commodoor is not intended to process personal data. You agree not to submit any information or materials that contain personally identifiable information (PII), unless such submission complies with applicable privacy laws, including but not limited to the General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA), and other relevant data protection laws.

    Confidentiality:  Any information you submit to Commodoor may be used for training. You are responsible for ensuring that any materials submitted for Commodoor training do not violate confidentiality agreements. Sizemore & Company Technologies LLC is not responsible for the disclosure of any confidential or proprietary information uploaded into Commodoor by You. 

    Data Security: Sizemore & Company Technologies LLC implements commercially reasonable measures to safeguard Commodoor and its underlying data from unauthorized access, disclosure, or misuse. However, you acknowledge that no security system is completely foolproof, and Sizemore & Company Technologies LLC cannot guarantee the absolute security of your data. Except in the case of an intentional or reckless action of Sizemore & Company Technologies LLC, Sizemore & Company Technologies LLC shall not be liable for any data security breach arising from Your use of Commodoor.

    Use of Commodoor

    Permitted Use: Commodoor is made available exclusively to clients or approved licensees of Sizemore & Company Technologies LLC. You may not use Commodoor for commercial purposes, resell access to Commodoor, or use it in any manner inconsistent with the objectives of Sizemore & Company Technologies LLC. By using Commodoor, users do not secure any license or right to use Commodoor outputs for any purpose and are fully responsible for any liability arising from or related to their use of Commodoor outputs outside of the Commodoor platform.

    Accuracy of Outputs: Commodoor generates responses based on data uploaded by You and certain initial training data supplied by Sizemore & Company Technologies LLC. Sizemore & Company Technologies LLC has taken reasonable steps to ensure the accuracy of the initial training data. You acknowledge that outputs are based upon information uploaded to Commodoor by You and Sizemore & Company Technologies LLC cannot warrant the accuracy of Your information. Therefore, outputs may contain errors or biases, and you agree not to rely solely on Commodoor for making important business, legal, medical, or financial decisions.

    Accountability for Commodoor Outputs

    Outputs. You acknowledge that Commodoor’s outputs are based on the information you choose to provide to Commodoor. To ensure accuracy of Commodoor outputs, information provided to Commodoor should be vetted and confirmed by You prior to uploading to Commodoor. Uploading inaccurate information can influence the outputs provided by Commodoor. 

    Liability for Harmful Outputs: You agree that Sizemore & Company Technologies LLC, or its clients or approved licensees, are not responsible for any harm or damages resulting from use of or reliance on Commodoor’s outputs. Commodoor is a tool designed to assist users, and you are solely responsible for verifying the accuracy and appropriateness of the outputs before taking any action based on them.

    Regulatory Compliance

    Compliance with AI Regulations: You acknowledge that AI laws and regulations are evolving, and you agree to use Commodoor in compliance with any and all applicable laws or regulations, existing or future, including laws and regulations governing the use of artificial intelligence. Sizemore & Company Technologies LLC reserves the right to modify or restrict access to Commodoor to ensure compliance with applicable laws and regulations, including any regulations introduced in the future.

    Professional Standards: If you are using Commodoor in a regulated industry (e.g., legal, financial, healthcare, etc.), you are responsible for ensuring that your use of Commodoor complies with applicable professional standards and regulatory requirements. Sizemore & Company Technologies LLC does not provide any warranty or assurance that Commodoor complies with sector-specific regulations.

    Inappropriate Content.

    Sizemore & Company Technologies LLC respects the copyright, trademark and all other intellectual property rights of others. Sizemore & Company Technologies LLC has the right, but has no obligation, to remove content containing materials that it deems, in its sole discretion, to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Use. If you believe that your intellectual property rights are being violated and/or that any work belonging to you has been reproduced on the Site or in any Content in any way, you may notify Sizemore & Company Technologies LLC at issues@sizemoreco.com. Please provide your name and contact information, the nature of your work and how it is being violated, all relevant copyright and/or trademark registration information, the location/URL of the violation, and any other information you believe is relevant. 

    Limitation of Liability

    Disclaimer of Warranties: SIZEMORE & COMPANY TECHNOLOGIES LLC MAKES NO EXPRESS OR IMPLIED WARRANTY REGARDING COMMODOOR AND DISCLAIMS ANY IMPLIED WARRANTY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY AND/OR FITNESS FOR A PARTICULAR PURPOSE. SIZEMORE & COMPANY TECHNOLOGIES LLC DOES NOT WARRANT THAT THE SERVICES WILL FUNCTION WITHOUT FAILURE, DELAY, INTERRUPTION, ERROR, OR LOSS OF CONTENT, DATA, OR INFORMATION OR THAT COMMODOOR WILL MEET YOUR NEEDS.  SIZEMORE & COMPANY TECHNOLOGIES LLC DOES NOT AUTHORIZE ANYONE, INCLUDING BUT NOT LIMITED TO ITS EMPLOYEES, AGENTS, OR REPRESENTATIVES, TO MAKE A WARRANTY OF ANY KIND ON ITS BEHALF AND YOU SHOULD NOT RELY ON ANY SUCH STATEMENT.

    Governing Law and Dispute Resolution

    These Terms & Conditions shall be governed by the laws of Ohio, without regard to its conflict of law principles. Any disputes arising under these Terms & Conditions shall be resolved through binding, confidential arbitration in Cincinnati, Ohio, unless otherwise required by applicable law. By using Commodoor, you hereby knowingly and irrevocably consent to, and agree not to resist, the exclusive exercise of subject matter jurisdiction over any disputes arising under these Terms & Conditions, and personal jurisdiction over you, by the courts of Ohio.

    Termination

    Sizemore & Company Technologies LLC reserves the right to terminate or suspend your access to Commodoor at any time, with or without cause or notice, including for any violation of these Terms & Conditions. Upon termination, you must cease all use of Commodoor and any outputs generated from it.

    You may cancel at any time with 30 days advanced notice to Sizemore & Company Technologies LLC. You will be liable for all fees through the date of Cancellation. 

    You agree to indemnify and hold Sizemore & Company Technologies LLC and each of its directors, officers employees, and agents, harmless from any and all liabilities, claims, damages and expenses, including reasonable attorney’s fees, arising out of or relating to (i) your breach of these terms of service, (ii) any violation by you of law or the rights of any third party, (iii) any materials, information, works and/or other content of whatever nature or media that you post or share on or through Commodoor, (iv) your use of Commodoor or any services that Sizemore & Company Technologies LLC may provide via Commodoor and (v) your conduct in connection with Commodoor. Sizemore & Company Technologies LLC reserves the right to assume the exclusive defense of any claim for which we are entitled to indemnification under this Section at Your costs. In such event, you shall provide Sizemore & Company Technologies LLC with such cooperation as is reasonably requested by Sizemore & Company Technologies LLC.

    By using Commodoor, you acknowledge that you have read, understood, and agree to these Terms & Conditions.
